Anthropic is reportedly preparing a new voting structure ahead of a potential IPO.

According to Reuters, the company is seeking shareholder approval for a structure that would give CEO Dario Amodei and six co-founders a combined 50.1% of voting power in most corporate matters, provided certain ownership conditions remain satisfied.

This would give Anthropic's founders substantially more voting control than their economic ownership might otherwise provide.

Why does that matter?

Because public companies typically have thousands of shareholders.

Once a company goes public, management can face pressure from investors focused on quarterly results, profitability and share price.

A founder-controlled structure can give leadership greater ability to pursue longer-term strategies.

Anthropic's situation is particularly interesting because the company operates as a public benefit corporation and has a Long-Term Benefit Trust intended to preserve its mission.

That creates multiple layers of governance.

There is the management team.

There are shareholders.

And there are structures intended to protect Anthropic's stated long-term objectives.

The proposed voting arrangement would add another layer by giving founders significant control over shareholder decisions.

This isn't unique to Anthropic.

Dual-class and founder-control structures have been used by other technology companies, including Meta and Palantir.

For investors, governance structure can be just as important as revenue growth when evaluating a technology IPO.

The Anthropic proposal therefore offers an early look at one of the biggest questions surrounding frontier AI companies going public:

How do you balance public-market accountability with long-term control over an AI company's mission?
